CONTENT LICENCE AGREEMENT

This Content Licence Agreement ("Licence") describes the rights you receive when you create a QR code using QR Code AI ("Service"), operated by Supernovae ("Company," "we," "us," "our"). By using the Service to create a QR code, you ("Creator," "you") agree to the terms of this Licence, our Terms of Service, and our Privacy Policy.

1. GRANT OF LICENCE

When you create a QR code using QR Code AI, we grant you a perpetual, non-exclusive, non-transferable, worldwide, royalty-free licence to use, reproduce, modify, and distribute that QR code for the Permitted Uses defined in Section 2 below ("Content Licence").

This Licence applies to:

• QR codes created with standard design tools (colours, shapes, logos)
• QR codes generated using our AI features
• All exported formats (PNG, SVG, PDF, etc.)

A licence is issued to you at the moment you export or download the QR code. No additional purchase or registration is required.

2. PERMITTED USES

You may use your QR codes for the following purposes:

1. Advertising and promotion: Printed materials, product packaging, presentations, brochures, flyers, posters, and promotional projects, without reproduction limits
2. Digital use: Websites, blogs, social media posts, email newsletters, and online publications
3. Physical products: Merchandise, business cards, labels, packaging, signage, and other printed items for personal or commercial use
4. Commercial use: Use in connection with your business, products, or services, including resale of products that incorporate your QR codes
5. Client work: Transfer a QR code to a single client for their use, subject to Section 4
6. Educational use: School or university projects
7. Entertainment: Books, magazines, videos, and other media

3. ADDITIONAL RIGHTS FOR CLIENT DESIGNS

You may transfer a QR code you created to a client for the client's own use, provided that:

1. You enter into a written agreement with your client stating that their use must comply with this Licence
2. You remain responsible for your client's compliance with these terms
3. A QR code can only be transferred to a single client

You may not sub-licence or transfer the Licence itself to your client for use outside of the specific QR code(s) you created for them.

4. PROHIBITED USES

You may not:

1. Sub-licence, re-sell, rent, lend, assign, or otherwise transfer the Licence or the rights granted under this Licence (except as permitted in Section 3)
2. Use as a trademark or service mark: Use the QR code or any QR Code AI branding as part of a trade-mark, design-mark, trade-name, or service mark
3. Standalone distribution: Display QR codes on websites or platforms designed primarily for the sale, licence, or distribution of "on demand" products (e.g. template marketplaces, stock asset sites) where the QR code is the primary product
4. Claim ownership: Use the QR code in a manner that implies you own exclusive rights to the underlying technology or that the QR code was created by you or a person other than the copyright holder
5. Illegal or harmful use: Use the QR code for phishing, malware, fraud, hate speech, or any illegal or harmful purpose (see our Report Abuse page)
6. Competing use: Use the QR code in a manner that competes with QR Code AI's business, including offering QR codes for download or sale on a standalone basis
7. Remove notices: Remove any copyright, trademark, or proprietary notices from the QR code or associated materials
8. AI/ML training: Use the QR code for machine learning, AI training, or technologies designed to identify natural persons

5. THIRD-PARTY CONTENT

If you incorporate third-party content (such as logos, images, or trademarks) into your QR code, you are solely responsible for ensuring you have the necessary rights to use that content. We do not grant any rights to third-party content. You may not use third-party content in a way that infringes the rights of others.

6. INTELLECTUAL PROPERTY

QR Code AI and Supernovae reserve all rights not expressly granted to you under this Licence. We retain ownership of the Service, our technology, and our branding. This Licence does not grant you any rights to our trademarks, logos, or the QR Code AI platform itself.

7. AI-GENERATED CONTENT

QR codes generated using our AI features are subject to the same Licence as QR codes created with our standard tools. You receive the same perpetual, royalty-free rights for Permitted Uses. Our Terms of Service contain additional provisions regarding AI-generated content.

8. TERMINATION

You may terminate this Licence by ceasing to use the QR code and destroying all copies. We may terminate this Licence if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the affected QR code(s) and destroy or delete all copies.

9. DISCLAIMER

The Service and this Licence are provided "as is." We do not warrant that your use of the QR code will not infringe the rights of third parties. You are solely responsible for determining whether your use requires additional rights or releases.

10. HOW TO OBTAIN A LICENCE
