AFFILIATE PROGRAM TERMS

These Affiliate Program Terms ("Affiliate Terms") govern your participation in the QR Code AI Affiliate Program ("Program") operated by Supernovae ("Company," "we," "us," "our"). By enrolling in the Program, you ("Affiliate," "you") agree to be bound by these Affiliate Terms, our Terms of Service, and our Privacy Policy.

1. PROGRAM OVERVIEW

The QR Code AI Affiliate Program lets you earn recurring commissions by referring new paying customers to QR Code AI. The Program is managed through our affiliate platform partner, Rewardful.

Key terms:

• Commission rate: 30% of recurring revenue
• Commission type: Recurring, lifetime (for as long as the referred customer maintains an active paid subscription)
• Cookie duration: 60 days (referrals are tracked for 60 days after a user clicks your affiliate link)
• Cost to join: Free
• Earning limits: None

2. ELIGIBILITY

The Program is open to all individuals and entities, regardless of audience size or sales experience. You do not need to be a QR Code AI customer to participate, although familiarity with our product is recommended.

You may not participate in the Program if:

• You are under 18 years of age
• You have been previously terminated from the Program for violating these Affiliate Terms
• You are located in a jurisdiction where participation in affiliate programs is prohibited by law
• You are a direct competitor of QR Code AI

3. ENROLMENT

To join the Program:

1. Sign up at https://qrcode-ai.getrewardful.com/signup
2. Receive your unique affiliate link and promotional code
3. Access your affiliate dashboard to track performance and earnings

We reserve the right to accept or reject any application at our sole discretion. We may request additional information to verify your identity or suitability for the Program.

4. COMMISSION STRUCTURE

4.1 Commission Rate

You earn a 30% commission on the net revenue (excluding taxes and refunds) from each referred customer's paid subscription, for the lifetime of that customer's subscription.

4.2 Qualifying Referrals

A referral qualifies for a commission when:

• The referred user clicks your unique affiliate link or uses your promotional code
• The referred user creates a QR Code AI account within 60 days of clicking your link
• The referred user upgrades to a paid subscription plan
• The referred user is a new customer who has not previously had a paid QR Code AI account

4.3 Non-Qualifying Referrals

Commissions are not earned for:

• Self-referrals (signing up through your own affiliate link)
• Referrals from users who already have an existing QR Code AI account
• Referrals that result from prohibited promotional methods (see Section 6)
• Referrals where the customer requests a refund or chargeback
• Referrals attributed to fraudulent activity

5. PAYMENT

5.1 Payment Method

Commissions are paid through PayPal. You are responsible for providing accurate PayPal payment information in your affiliate dashboard.

5.2 Payment Schedule

Commissions are paid monthly, after a 30-day holding period to account for potential refunds and chargebacks. For example, commissions earned in January are eligible for payment in March.

5.3 Minimum Payout

There is no minimum payout threshold. You may request a withdrawal at any time.

5.4 Taxes

You are solely responsible for reporting and paying any taxes applicable to your affiliate earnings. We may request tax documentation (such as a W-9 for US affiliates) before processing payments. We do not withhold taxes on affiliate payments unless required by law.

6. PROMOTIONAL GUIDELINES

6.1 Permitted Promotional Methods

You may promote QR Code AI through:

• Your personal or business website, blog, or portfolio
• Social media accounts (YouTube, Instagram, TikTok, Twitter/X, LinkedIn, Facebook, etc.)
• Email newsletters to your own subscriber list (with proper opt-in consent)
• Online reviews and comparison articles
• Educational content and tutorials
• Podcast mentions and video content

6.2 Prohibited Promotional Methods

You may not promote QR Code AI through:

• Paid search ads (SEM): Bidding on "QR Code AI," "qrcode-ai," or any variation of our brand name in search engine advertising (Google Ads, Bing Ads, etc.)
• Trademark misuse: Using our brand name, logo, or trademarks in a way that implies official partnership or endorsement without written approval
• Spam: Sending unsolicited emails, messages, or bulk communications to promote your affiliate link
• Cookie stuffing: Using techniques that artificially set tracking cookies without genuine user interaction
• Misleading claims: Making false, exaggerated, or misleading statements about QR Code AI features, pricing, or capabilities
• Coupon/deal sites: Posting affiliate links on coupon aggregator sites or browser extension deal finders without prior written approval
• Incentivised clicks: Offering monetary rewards, points, or other incentives solely for clicking your affiliate link or signing up
• Adult, violent, or illegal content: Placing affiliate links on websites or content that contain adult material, promote violence, or engage in illegal activities
• Automated traffic: Using bots, click farms, or any automated means to generate clicks or sign-ups

6.3 Disclosure Requirements

In accordance with FTC guidelines and applicable advertising regulations, you must clearly disclose your affiliate relationship with QR Code AI in all promotional content. For example: "This post contains affiliate links. I may earn a commission if you sign up through my link."

7. INTELLECTUAL PROPERTY

7.1 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the QR Code AI name, logo, and approved marketing materials solely for the purpose of promoting the Program. We may provide you with approved banners, graphics, and copy through your affiliate dashboard or upon request.

7.2 Restrictions

You may not:

• Modify, alter, or create derivative works from our logos, trademarks, or marketing materials
• Register domain names, social media handles, or app names that contain "QR Code AI," "qrcode-ai," or confusingly similar variations
• Imply that you are an employee, agent, or official representative of QR Code AI
• Create websites or landing pages that could be confused with official QR Code AI properties

8. TRACKING AND REPORTING

8.1 Affiliate Dashboard

Upon enrolment, you will receive access to an affiliate dashboard (powered by Rewardful) where you can:

• View your unique affiliate link and promotional code
• Track clicks, sign-ups, and conversions in real time
• Monitor your commission earnings and payment history
• Access promotional materials

8.2 Attribution

Referrals are tracked using cookies with a 60-day attribution window. If a user clicks multiple affiliate links, the last click before sign-up receives credit for the referral.

9. TERM AND TERMINATION

9.1 Term

These Affiliate Terms take effect from the date you enrol in the Program and remain in effect until terminated by either party.

9.2 Termination by You

You may terminate your participation in the Program at any time by contacting us at [email protected] or through your affiliate dashboard. You will receive payment for any outstanding commissions earned before the termination date, subject to the holding period described in Section 5.2.

9.3 Termination by Us

We may suspend or terminate your participation in the Program at any time, with or without cause, by providing notice to the email address associated with your affiliate account. Reasons for termination may include, but are not limited to:

• Violation of these Affiliate Terms or our Terms of Service
• Fraudulent or misleading promotional activity
• Inactivity for a period of 12 consecutive months
• Conduct that damages the QR Code AI brand or reputation

9.4 Effect of Termination

Upon termination:

• Your affiliate link and promotional code will be deactivated
• You must immediately stop all promotional activities using QR Code AI branding
• Pending commissions that have passed the holding period will be paid out
• Commissions still within the holding period will be reviewed and paid if valid
• You will lose access to the affiliate dashboard
• Recurring commissions on previously referred customers will cease

10. PROGRAM MODIFICATIONS

We reserve the right to modify any aspect of the Program at any time, including commission rates, cookie duration, payment terms, and these Affiliate Terms. We will provide at least 30 days' notice of material changes via email to your registered affiliate email address. Your continued participation in the Program after the effective date of any changes constitutes your acceptance of those changes.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

• Our total liability to you under these Affiliate Terms shall not exceed the total commissions paid to you in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program.
• We are not liable for any technical issues, errors, or delays in tracking, reporting, or payment processing by Rewardful or PayPal.

12. RELATIONSHIP OF PARTIES

You are an independent contractor and nothing in these Affiliate Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and QR Code AI. You have no authority to make or accept any offers or representations on our behalf. You are solely responsible for your own business expenses, taxes, and compliance with applicable laws.

13. GOVERNING LAW

These Affiliate Terms are governed by the laws of France. Any disputes arising from these terms shall be resolved in accordance with the dispute resolution provisions of our Terms of Service.
